Terms of Service

These Terms of Service govern access to and use of the TrueCalling.ai platform by all of its Clients and Users.

This English translation is provided for convenience only. The French version of these Terms is the legally binding version and prevails in case of discrepancy.

Positioning Statement

TrueCalling provides decision-support tools designed to reveal the potential of talent, without ever replacing human judgment.

Purpose

These Terms of Service (the "Terms") govern access to and use of the TrueCalling.ai platform (the "Platform"), a SaaS talent intelligence solution enabling the identification, assessment and matching of professional profiles. By accessing or using the Platform, the Client agrees to be bound by these Terms.

Definitions

  • Client: the entity subscribing to the Services.
  • User: an authorized individual accessing the Platform.
  • Candidate: an individual being assessed or analyzed.
  • Personal Data: any information relating to an identifiable individual.
  • Processing: any operation performed on Personal Data.

License & Access

TrueCalling grants a limited, non-exclusive, non-transferable and revocable license, for internal business use only.

Prohibited uses. The Client may not:

  • Resell, sublicense or distribute the Platform.
  • Reverse engineer, decompile or attempt to extract the source code.
  • Perform automated scraping or bulk data extraction.
  • Use the Platform to build or train competing systems.
  • Misappropriate third-party data sources.

Description of the Services

The Platform provides:

  • Talent identification and enrichment.
  • Candidate scoring (skills, motivation, resilience, cultural alignment).
  • Matching with open positions.
  • AI-powered recommendations.
No automated decision-making clause

The Platform provides decision-support outputs only. TrueCalling makes no hiring decisions, guarantees no outcomes and does not replace human evaluation.

Data Protection (GDPR-compliant)

5.1 Roles

Client = Data Controller | TrueCalling = Data Processor.

5.2 TrueCalling's commitments

  • Process data only on documented instructions.
  • Implement appropriate technical and organizational measures.
  • Ensure confidentiality and integrity.
  • Notify data breaches without undue delay.

5.3 Client's responsibilities

  • Ensure a lawful basis for processing.
  • Inform Candidates.
  • Comply with applicable data protection laws.

5.4 Data subject rights

Candidates may exercise their rights of access, rectification, erasure, objection and portability. privacy@truecalling.ai.

5.5 Data retention

Data is retained only for as long as necessary or as required by law.

AI Compliance (AI governance)

TrueCalling implements responsible AI principles:

  • Transparency of the system's purpose.
  • Model documentation.
  • Bias mitigation efforts.
  • Human oversight.
  • Traceability of outputs.

Limits:

  • No fully automated decision-making.
  • No intentionally discriminatory design.

Acceptable Use & Ethics

The Client agrees not to:

  • Use the Platform for unlawful or discriminatory purposes.
  • Violate applicable employment and labor laws.
  • Misuse candidate data.

Security

TrueCalling maintains:

  • Encryption in transit and at rest.
  • Access control mechanisms.
  • Logging and monitoring.
  • Periodic security audits.

Intellectual Property

All rights, title and interest in and to the Platform remain the exclusive property of TrueCalling. No ownership rights are transferred to the Client.

Fees & Payment

The Services are billed through subscriptions and usage-based pricing.

Payment terms:

  • Invoices are payable within the agreed timeframes.
  • Late payment may result in suspension.
  • Fees are non-refundable unless otherwise provided.

Disclaimer of Warranties

The Platform is provided "as is" and "as available". TrueCalling disclaims all warranties, including merchantability, fitness for a particular purpose and non-infringement.

Limitation of Liability

To the maximum extent permitted by law:

  • TrueCalling shall not be liable for indirect, incidental or consequential damages.
  • Total liability shall not exceed the fees paid during the preceding 12 months.

Indemnification

The Client agrees to indemnify and hold TrueCalling harmless from any claim arising out of misuse of the Platform, unlawful data processing or violation of applicable laws.

Service Availability (SLA)

  • Availability target: 99.9%.
  • Maintenance windows may occur.
  • No guarantee of uninterrupted service.

Suspension & Termination

TrueCalling may suspend or terminate access in the event of a breach of these Terms, non-payment, or a risk to security or legality.

Assignment

The Client may not assign these Terms without prior written consent. TrueCalling may freely assign them in the event of a merger, acquisition or restructuring.

Force Majeure

Neither party shall be liable for any failure to perform caused by events beyond its reasonable control.

Governing Law

These Terms are governed by the laws of the United States.

Changes to these Terms

TrueCalling may update these Terms at any time. Continued use constitutes acceptance.

TrueCalling provides decision-support tools only. All hiring decisions remain the sole responsibility of the Client.
